Verint Announces Opus Group Acquisition

By DAVID R. BUTCHER, Assistant Editor, Customer Interaction Solutions

Verint Systems Inc., a provider of analytic software-based solutions for communications interception, networked video security and business intelligence, today announced the acquisition of Opus Group, a provider of performance analytics solutions for contact centers and back-office operations.

Verint Systems has acquired the business of Opus for $12 million cash at closing and additional earn-out payments over two years, based on certain profitability targets. The business acquisition takes place through the purchase of certain assets and liabilities of Opus Group LLC, and is expected to be neutral to pro forma EPS (earnings per share) in fiscal 2005. (Pro forma EPS generally excludes some expenses/income that were used in calculating reported earnings.)

Opus, founded in 2002 and privately held, helps process-intensive enterprises improve performance and reduce the cost of their operations by analyzing data collected from across the enterprise and identifying areas for improvement.

By purchasing Opus, the capabilities of Verint’s Enterprise Actionable Intelligence portfolio will be extended to further support enterprise goals, enhancing the effectiveness of their customer-facing and back-office operations. Verint software is used by more than 1,000 organizations in more than 50 countries worldwide.

“Opus has demonstrated strong ROI for customers deploying their performance analytics solutions and we believe that the synergy with Verint’s actionable intelligence solutions will greatly benefit our customer base,” said Dan Bodner, Verint Systems president and CEO, in a company announcement.

Opus is headquartered in Hinsdale, Illinois. Verint, a subsidiary of Comverse Technology, Inc., is headquartered in Melville, New York.
