Visual Networks Recognized by INTERNET TELEPHONY
On the brink of being acquired by Fluke Electronics Corporation, Visual Networks, a provider of network and application performance management solutions, has been chosen by Technology Marketing Corporation’s INTERNET TELEPHONY magazine for its new Select VoIP software solution as a recipient of a 2005 Product of the Year Award.
Select VoIP depends on actual real-time customer application traffic to assess VoIP readiness and, once VoIP is deployed, monitors site-to-site traffic to discover the root cause of VoIP performance problems. Select VoIP is a module of Visual Networks’ flagship Visual UpTime Select product suite, which provides in-depth, real-time and historical information that enables organizations to manage application and network performance and availability across the entire enterprise.
"We are honored that we have received INTERNET TELEPHONY’s Product of the Year Award for the fifth year in a row," said Larry Barker, president and CEO of Visual Networks.
In early December, Danaher Corporation announced that its wholly-owned subsidiary Fluke Electronics Corporation would enter into a definitive agreement to purchase Visual Networks, Inc. for $1.83 per share. This represents a 25 percent premium to Visual Networks' closing share price on December 1, 2005, and a total purchase price of approximately $75 million in cash, including transaction costs and net of estimated cash to be acquired. With 2004 revenues of approximately $53 million, Visual Networks will become a part of Danaher's Fluke Networks business.
Network traffic and planning tools are becoming increasingly important as companies discover the challenges of VoIP installations. In fact, research firm Gartner claims that most VoIP installations fail, largely because 85 percent of networks aren’t ready for the added traffic. And without a predeployment assessment, Gartner puts the chance of failure at greater than 50 percent. Fortunately, today’s VoIP network and application performance management solutions promise to help companies ensure that their networks are optimized for voice traffic.
